These terms govern a seller's use of HEEP Grid. By connecting an Etsy shop to HEEP Grid, a seller agrees to these terms.
1. Scope of service
HEEP Grid connects a seller's Etsy shop, imports that shop's orders, and routes them into fulfillment and shipping. Once an order ships, HEEP Grid sends the resulting carrier and tracking information back to Etsy on the seller's behalf.
2. Your responsibilities
A seller is responsible for the accuracy of the account and order information they provide, for keeping their Etsy shop's connection settings up to date, and for using HEEP Grid in compliance with Etsy's own seller policies and API Terms of Use.
3. Authorization to connect your Etsy shop
By connecting an Etsy shop to HEEP Grid, a seller represents that they are the shop's owner or are otherwise authorized to grant HEEP Grid access to it through Etsy's own OAuth flow.
4. Dependence on third-party systems
HEEP Grid's service depends on the availability and behavior of third-party systems it does not control, including Etsy's API and the shipping carriers used to fulfill orders. An outage, rate limit, or policy change on any of these systems can delay or interrupt HEEP Grid's service, and HEEP Grid is not responsible for those interruptions.
5. Fulfillment and shipping services
HEEP Grid routes orders into fulfillment and generates shipping labels through the carriers and fulfillment providers connected to a seller's account. HEEP Grid is not itself the carrier and is not responsible for a carrier's delivery times, loss, or damage in transit.
6. Limitation of liability
HEEP Grid is provided on an "as is" basis, without warranties beyond those stated in these terms. To the maximum extent permitted by law, HEEP Grid and HEEP LLC are not liable for indirect, incidental, or consequential damages arising from use of the service.
7. Ending the connection
A seller can disconnect their Etsy shop from HEEP Grid at any time, through Etsy's own "Your Account" page under connected apps, or by contacting hello@heepgrid.com. HEEP Grid may also suspend or end a seller's access if these terms or Etsy's own policies are violated.
8. Intellectual property
HEEP Grid's software, branding, and platform are the property of HEEP LLC. A seller retains all rights to their own shop, product, and order data.
9. Governing law
These terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles. HEEP LLC is based in St. Petersburg, Florida.
